1. Agreement to Terms
By accessing or using the services provided by OpsAlchemyLab ("we", "us", or "our"), including our website, technical consulting, and development services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services.
2. Services Scope
OpsAlchemyLab acts as a dedicated technical partner and fractional CTO service. The specific scope, deliverables, timelines, and costs for our technical and consulting services will be outlined in separate Statements of Work (SOW) or Master Service Agreements (MSA) signed by both parties.
3. Intellectual Property Rights
Unless explicitly agreed otherwise in a signed contract:
- Client Property: Any pre-existing intellectual property, data, or materials provided by the client remains the sole property of the client.
- Deliverables: Upon full payment of all undisputed invoices, OpsAlchemyLab transfers intellectual property rights of the custom deliverables (e.g., custom code, architectures) to the client.
- OpsAlchemyLab IP: We retain all rights to our pre-existing tools, methodologies, and open-source contributions used during the engagement.
4. Client Responsibilities
To ensure successful project delivery, you agree to provide timely access to necessary systems, repositories, personnel, and documentation. Delays caused by the client may result in adjusted timelines and project scope changes.
5. Confidentiality
Both parties agree to hold any confidential or proprietary information received from the other party in strict confidence. This information will only be used for the purpose of executing the agreed-upon services and will not be disclosed to third parties without prior written consent, except as required by law.
6. Limitation of Liability
While OpsAlchemyLab strives to provide the highest quality of technical services, we do not guarantee that our services will be completely error-free or uninterrupted. In no event shall OpsAlchemyLab be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of your use of our services.
7. Termination
Either party may terminate the engagement by providing written notice as specified in the specific SOW or MSA. Upon termination, the client is responsible for paying for all services rendered and expenses incurred up to the date of termination.
8. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which OpsAlchemyLab is registered, without regard to its conflict of law provisions.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify users of any significant changes by updating the "Last Updated" date at the top of this page. Your continued use of the service after any such changes constitutes your acceptance of the new Terms.
